Form 10-K
A Form 10-K carries its cover page, financial statements and notes in Inline XBRL. Disclose IQ takes them table by table and section by section.
The form
What the form requires
Form 10-K is the form used for annual reports under Section 13 or 15(d) of the Securities Exchange Act of 1934. A Form 10-K is due 60 days after the end of the fiscal year for large accelerated filers, 75 days for accelerated filers and 90 days for all other registrants.
Domestic filers file the cover page and financial statement information in Forms 10-Q and 10-K in Inline XBRL, including footnotes, schedules and, in annual reports, auditor information. Rule 406 of Regulation S-T requires the cover page of Forms 10-K, 10-Q, 8-K and 20-F to be tagged in Inline XBRL, in the manner the EDGAR Filer Manual provides. The tagged file covers the complete set of the financial statements, which includes the face of the statements and all footnotes. Presenting only partial face financial statements is not permitted, such as by excluding comparative financial information for earlier periods.
In the footnotes, each complete footnote, each significant accounting policy and each table is tagged as a block of text. Within each footnote, each amount, whether a monetary value, a percentage or a number, is tagged separately, and each narrative disclosure may be tagged separately if the filer chooses. Each complete financial statement schedule is tagged as a block of text. Disclosures made under Regulation S-K are tagged too, including Item 106 on cybersecurity and Item 408 on insider trading.
The cover of Forms 10-K, 10-Q and 20-F asks whether the registrant has filed every Interactive Data File required under Rule 405 of Regulation S-T in the preceding 12 months.

How Disclose IQ handles it
Tag the tables once, and give each section its own path
Import a statement or a note table from Excel, give each row its concept and each column its period and unit, and every figure in the table is tagged from those two decisions.
- A 10-K is created with a section for each part of the report, starting with the cover page.
- Each section runs its own workflow, so the notes can be reviewed while the statements wait for their numbers.
- The cover section holds a checklist of cover fields with their tagged state, and required cover facts are checked before export.
- Validation runs when you choose, and the errors that block approval are listed apart from the warnings.
In practice
What the preparer works with
-
Statements and notes
Statement and note tables are tagged as tables, with each row's concept and each column's context set once.
-
A section at a time
Each section has its own stage, so a glance shows which parts are approved and which are still open.
-
The cover section
The cover is its own section, so its checklist stays apart from the statements and the notes.
-
Findings in view
Findings are grouped as errors and warnings, and a filter shows only the errors that block approval.
Works with
-
Excel table tagging
Tag the table, not the cell.
-
Prior-period tagging
Match each untagged figure to the prior filing's tag, see why, and accept it.
-
Section workflows
Route the section, not the email.
-
Review and validation
Fact-level review, blocking errors and warnings, and one view of what is left.
